Please read these Terms of Service ("Terms") carefully. By accessing or using the bill payment services, products, or websites operated by CellPay ("CellPay," "we," "our," or "us"), you agree to be bound by these Terms. If you do not agree, do not use the CellPay services (the "Services"). We may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Services after such changes constitutes acceptance of the revised Terms.


1. User Obligations

When using the Services, you agree to:
1. Provide accurate, current, and complete information and promptly update it as needed.
2. Maintain the confidentiality and security of your account credentials.
3. Notify CellPay immediately of any unauthorized use or suspected compromise of your account.

You are responsible for all activity conducted through your account, whether authorized by you or not. CellPay is not liable for losses arising from unauthorized account use due to your failure to safeguard credentials.


2. Eligibility and Qualifications

You represent and warrant that:
1. You are at least 18 years old and reside in the United States; or
2. If acting on behalf of an organization, you are authorized to bind that entity;
3. You are legally capable of entering into binding contracts.


3. Scope of Services

CellPay provides a digital platform that enables users to make one-time bill payments to participating billers. CellPay acts solely as a payment facilitator and does not provide, control, or guarantee the underlying services offered by billers.
Biller availability, payment methods, delivery times, and posting schedules may vary. CellPay may add, modify, or remove billers at any time.


4. Payment Methods and Fees


4.1 Payment Methods

Available payment methods may include:

1. Bank account (ACH)
2. Debit cards
3. Credit cards
4. Other supported methods as made available
Availability may vary by biller, amount, or transaction type.

4.2 Fees

Bank Account Payments: No processing fee is charged when paying directly from a bank account.
Card or Other Payment Methods: Payments made using cards or other non-bank methods may incur a processing fee of up to 3%.
Service Fees: CellPay may charge a nominal service fee based on bill amount, payment method, or payment urgency.

All applicable fees are clearly disclosed before you authorize a payment. Fees are non-refundable once a payment is submitted, except as required by law.


5. Payment Authorization


By submitting a payment, you authorize CellPay to debit the selected payment method for the total payment amount, including any applicable fees, and to remit funds to the designated biller on your behalf.
You are responsible for ensuring sufficient funds and accurate payment information.


6. Payment Timing and Posting


Payment delivery and posting times depend on the biller, payment method, weekends, and holidays. CellPay does not guarantee same-day or next-day posting unless explicitly stated.
You are responsible for initiating payments sufficiently in advance of bill due dates. CellPay is not responsible for late fees, penalties, service interruptions, or other consequences of delayed or failed payments.


7. Cancellations, Refunds, and Errors


Payments generally cannot be canceled or reversed once submitted.
All payments, service fees, and processing fees are non-refundable, except in the limited circumstances outlined below or as required by applicable law.
Refunds may be issued only if:
1. A duplicate payment occurs due to a CellPay system error;
2. A payment fails and funds are returned to CellPay; or
3. A refund is required by applicable law or regulation.

Processing fees and service fees are non-refundable in all circumstances, including for late, misapplied, or rejected payments.


8. User Content


You retain ownership of information you submit through the Services ("User Content"). You grant CellPay a limited right to use such content solely to provide, operate, and improve the Services, including in aggregated and anonymized form.
CellPay may disclose information as required by law, to prevent fraud, enforce these Terms, or protect the rights and safety of users and the public.


9. Prohibited Conduct


You agree not to:
1. Violate applicable laws or regulations;
2. Misrepresent your identity or impersonate others;
3. Upload malicious code or interfere with system security;
4. Scrape, mine, or harvest data from the Services;
5. Use the Services for unlawful, abusive, or fraudulent purposes.


10. Security


CellPay uses industry-standard safeguards, including 256-bit encryption, to protect your information. However, no system can be guaranteed to be completely secure.


11. Disclaimer of Warranties


THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


12. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELL PAY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CELL PAY’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL FEES PAID BY YOU FOR THE TRANSACTION GIVING RISE TO THE CLAIM.


13. Suspension and Termination


CellPay may suspend or terminate your access if we believe there is a security risk, legal requirement, or violation of these Terms. You may terminate your account at any time.
Upon termination, access to the Services will cease and data may be retained as required by law.


14. Indemnification


You agree to indemnify and hold harmless CellPay and its affiliates from claims arising from your misuse of the Services or violation of these Terms.


15. Governing Law and Dispute Resolution


These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, and not in a class, consolidated, or representative action, except where prohibited by applicable law.


16. General Terms


If any provision is held unenforceable, the remaining provisions shall remain in effect. These Terms constitute the entire agreement between you and CellPay regarding the Services.
